Terms of Service

By accessing or using RiverRun Digital's website (riverrun.digital) or engaging our consulting services, you agree to be bound by these Terms of Service. If you do not agree to these Terms, please do not use our services.

RiverRun Digital provides consulting services including:

• AI strategy development
• Workplace AI assessments
• AI agent orchestration
• Go-to-market strategy
• Newsletter & podcast production
• Custom music & audio branding
• Business strategy consultation

Specific services are defined in individual service agreements and client contracts.

Engagement Terms: Services are provided on a project basis or retainer as defined in individual service agreements.

Payment Terms: Pricing is set per service agreement. Payment terms are specified per contract (typically net 30). We accept credit card, ACH transfer, and check. Late payments may result in service suspension after 30 days. A late fee of 1.5% per month applies to overdue balances.

As a client, you agree to:

• Provide accurate business information and documentation
• Grant necessary access to systems as required
• Respond to requests in a timely manner
• Provide feedback and approvals as needed
• Comply with all applicable laws and regulations
• Maintain confidentiality of proprietary methodologies

Both parties agree to maintain confidentiality of:

• Proprietary business information
• Strategic plans & methodologies
• Financial information
• Client lists & relationships
• Information marked confidential

This obligation continues for 2 years after service termination.

You retain ownership of:

• Your business name, logos, and trademarks
• Materials and content you provide
• Business information and proprietary content

We retain ownership of:

• Our proprietary methodologies and frameworks
• Templates and tools developed independently
• General knowledge and expertise gained

Work product: Deliverables created for your engagement become your property upon full payment.

While we strive for excellent results, we do not guarantee:

• Specific revenue or growth outcomes
• Investment or funding success
• Market adoption rates
• AI implementation ROI

Business success depends on many factors outside our control, including market conditions, execution, and competitive dynamics.

Either party may terminate services with 30 days written notice. Upon termination:

• We deliver all completed work product
• Outstanding invoices remain due
• Confidentiality obligations continue
• You retain ownership of deliverables paid in full

Limitation of liability: RiverRun Digital's total liability shall not exceed the amount paid for services in the preceding 3 months. We are not liable for indirect, incidental, consequential, or punitive damages.

Indemnification: You agree to indemnify RiverRun Digital from claims arising from your breach of these Terms, implementation of recommendations, or violation of laws.

These Terms are governed by the laws of North Carolina, USA. Before pursuing formal action, parties agree to attempt good-faith negotiation for 30 days. If negotiation fails, disputes shall be resolved through binding arbitration under the American Arbitration Association rules. Jurisdiction: Cherokee County, North Carolina.
